Terms & Conditions

These terms set forth the agreement between you, 'The Client', and us, Elite Socials LTD, regarding your use of our services.

1. Scope Of Services:

1.1 Elite Socials LTD will provide the services as outlined in the agreed-upon proposal or contract. As an assignment develops, it may be that the scope of the required work changes. In this case, any additional services not specified in the original agreement will require a new agreement or an amendment to the existing contract.

2. Payment Terms:

2.1 Invoices shall be settled within 7 days of the date on the invoice unless agreed otherwise. Elite Socials LTD will retain ownership of all work until full payment has been made.

2.2 The Client agrees to adhere to the payment schedule outlined in the agreed-upon proposal or contract. Late payments may result in a delay or cessation of services, and will incur a late fee of 25% of the outstanding amount. 

3. Termination:

3.1 If for any reason The Client chooses not to renew services at the end of the term of the agreement, they must notify our team of their intent not to proceed no later than 7 days before the renewal date.

3.2 The Client agrees to complete our off-boarding form to assist us in improving our service. Failure to comply with our cancellation policy will result in our inability to deliver a refund if payment goes through before cancelling.

​​4. Intellectual Property:

4.1 All intellectual property rights in the strategies, plans, creative materials, and other deliverables developed by Elite Socials LTD remain with the agency until full payment has been received.

4.2 Elite Socials LTD retains the right to showcase your project on their website and design portfolio for the sole purpose of promoting our work and business.

5. Limitation of Liability:

5.1 Elite Socials LTD will not be held liable for any indirect, special, or consequential damages arising out of the performance of its services. Elite Socials LTD’s total liability under this agreement in tort arising in connection with this agreement will not exceed the total amount paid by The Client to Elite Socials LTD.

5.2 Elite Socials LTD will not be held liable if your ad account, profile, or business page is disabled, deactivated, or banned by any primary platforms and/ or other web-based platforms, if that platform does not approve our ads, forces us into the special ads category, or otherwise prevents us from providing service.

5.3 The Client understands that as the account holder, they are responsible for filing appeals with the platform under such circumstances as named in the paragraph above, under Elite Socials guidance and advice.

6. Force Majeure:

6.1 Elite Socials LTD shall not be liable for any delay or failure to perform their obligations where such delay or failure arises from circumstances outside Elite Socials LTD's reasonable control.

7. Confidentiality:

7.1 Elite Socials LTD will keep your documents and affairs confidential at all times, unless you permit disclosure or the relevant circumstances are already in the public domain. Think may, however, disclose your documents and affairs to:

(i)  Such of your other service providers as you inform Elite Socials LTD are involved in any assignment on which Elite Socials LTD is instructed;

(ii) Elite Socials LTD's affiliates or related parties; and

(iii)  Any other service provider to whom Elite Socials LTD may properly delegate aspects of any assignment in order to provide a full range of services to you.

8. Account Access and Authorisation:

8.1 Elite Socials is hereby authorised by The Client to assume the identity of The Client in all social media interactions on the internet including but not limited to, posting of contents, online forum discussion, status updates, message board posts, comments and responses to user comments, reactions, and emails.

8.2 The Client shall demonstrate such authorization by providing Elite Socials with applicable usernames and passwords for all the agreed-upon social media account handles to be managed.

9. Indemnity

9.1 All services may be used for lawful purposes only. You agree to indemnify and hold Elite Socials LTD harmless from any claims resulting from your use of our service that damages you or any other party.

10. Terms of sale

10.1 As The Client, you acknowledge and agree that all sales are considered final and non-refundable. By accepting this, you waive any rights to initiate a chargeback on your authorised payment through your credit card processor.

11. Governing Law

11.1 This agreement shall be governed by the laws of the country/state where the agency is located. Both parties agree to submit to the jurisdiction of the courts in that location.

12. Amendment

12.1 This agreement may only be amended or modified by a written document signed by both parties.
